TERMS AND CONDITIONS
Please read the following terms and conditions carefully. By engaging the services of Benjamin Crisp (Consultant) for screenplay or treatment/outline consultation, editing, or mentoring, you (Client) acknowledge and agree to these terms upon purchasing any such services.
1. INDEPENDENT CONTRACTOR STATUS
The Consultant is an independent contractor and not an employee of the Client. Both parties acknowledge they have read and agreed to these terms, which govern the provision of consultation services.
2. CLIENT MATERIALS
The Client affirms they have authored a screenplay or treatment intended for a potential theatrical film, television production, series pilot, web series, video game, or short film. The Client submits their screenplay or treatment in electronic form (PDF or Final Draft file) to the Consultant for analysis, editing, or mentoring under the terms of this agreement.
3. SCOPE OF WORK
The Consultant will provide the following services:
A written analysis addressing story structure, concept, characters, dialogue, and screenplay formatting.
A one-week follow-up period during which the Client may seek clarification or additional advice via email.
4. PAYMENT TERMS
Full payment is required upfront via PayPal or Stripe. The Client must send payment before submitting their screenplay.
No work will commence until the payment has cleared.
There are no refunds for services once payment is received.
5. TIMELINE
The Consultant will complete the consultation within one to two weeks of receiving payment, unless otherwise agreed upon by both parties. Any delay will be communicated via email, and a new completion date will be mutually agreed upon.
6. CLIENT WARRANTIES
The Client represents that:
They are at least 18 years of age.
They are the sole author and owner of the submitted material.
They have the right to submit the material without requiring additional permissions.
The submission does not infringe upon the rights of third parties or violate any applicable laws.
7. CONFIDENTIALITY
The Consultant agrees to treat all materials and associated information as confidential and will not disclose or use the materials for purposes outside the scope of this agreement. Exceptions to confidentiality include:
Information already known to the Consultant before submission.
Information that becomes public through no fault of the Consultant.
Information independently developed by the Consultant without reference to the Client’s submission.
8. CLIENT’S RESPONSIBILITIES
The Client is solely responsible for protecting their material through registration with appropriate organisations such as the Australian Copyright Office, the U.S. Copyright Office, or the Writers Guild of America.
9. INTELLECTUAL PROPERTY
All rights to the screenplay or treatment remain with the Client. The Consultant’s suggestions, edits, or ideas during the consultation are provided as part of the service and do not constitute a transfer of rights.
10. LIMITATION OF LIABILITY
The Consultant is not liable for any outcomes resulting from the use of their advice, including economic loss or project failure. The Client accepts full responsibility for their decisions and results.
11. NOTICES
All communication between the Consultant and the Client, including notices regarding services, will be conducted via email.
12. RELATIONSHIP
Neither party has the authority to bind the other to any agreement or legal obligation beyond the scope of this contract.
13. COMPLETE AGREEMENT
This document constitutes the full agreement between the Consultant and the Client. Any modifications must be made in writing and signed by both parties.
14. GOVERNING LAW
This agreement is governed by the laws of the State of New South Wales, Australia. For international clients, the Client agrees to resolve any disputes under Australian jurisdiction.
By submitting payment and materials, the Client acknowledges their acceptance of these terms.
